End-User License Agreement
1. Parties and Acceptance
This End-User License Agreement governs installation and use of the Aivium desktop application. By downloading, installing, activating, or using Aivium, the user accepts this agreement, the public offer, and the privacy policy.
Seller/operator for the current website: ООО "ВМЕЧТЕ", as listed on the public offer and privacy pages.
2. What Is Licensed
Aivium is licensed, not sold. The user receives a limited, non-exclusive, non-transferable, revocable right to install and use the Aivium desktop application during the trial period or active paid license period.
All rights not expressly granted remain with the rights holder.
3. Trial and Paid License
The trial license is provided for the period stated on the website and in the user's account.
The paid license is activated by a license key or account entitlement and is valid for the term shown in the user's account. Updates are included only for the active paid period unless the public offer or a separate agreement says otherwise.
If the license expires, is revoked, or fails validation, paid functionality may be limited or blocked.
4. User Data and AI Providers
Aivium is a desktop application. Local files remain on the user's machine unless the user chooses an action that sends selected context to an AI provider, cloud service, connected storage, or other configured integration.
The user is responsible for choosing AI providers, reviewing context sent to them, and verifying AI-generated changes before applying them.
5. Restrictions
The user may not:
- copy or distribute Aivium except as allowed by the installer/update flow;
- share, resell, rent, lease, sublicense, or transfer a license key;
- bypass, disable, spoof, or modify license validation, paid feature gates, update signatures, telemetry needed for licensing/security, or account checks;
- reverse engineer, decompile, disassemble, or attempt to derive source code except where mandatory law permits it;
- remove copyright, license, brand, or third-party notices;
- use Aivium to build or distribute a confusingly similar product using the Aivium name, logo, UI identity, or protected materials;
- use Aivium in violation of law or third-party terms.
6. Backups and Internal Use
The user may keep reasonable backup copies of the installer or application data for personal or internal business continuity, provided the copies are not distributed and are used only with a valid license.
7. Third-Party Components
Aivium includes or can work with third-party components. Those components remain governed by their own licenses. Current notices are maintained in THIRD_PARTY_LICENSES.md.
Optional tools such as yt-dlp or FFmpeg may be installed separately by the user or by a user-confirmed installer action. Their licenses are separate from this agreement.
8. Updates
Aivium may check for updates and install signed updates through the configured update channel. Update availability may depend on license status, operating system, and release channel.
The rights holder may change features, fix issues, remove unsafe behavior, or discontinue unsupported versions.
9. Warranty Disclaimer
Aivium is provided "as is" and "as available" to the maximum extent permitted by law. The rights holder does not guarantee uninterrupted operation, error-free results, compatibility with all files/providers, or correctness of AI-generated output.
10. Limitation of Liability
To the maximum extent permitted by law, the rights holder is not liable for indirect damages, lost profits, lost data, business interruption, provider outages, or decisions made based on AI output.
The user remains responsible for backups, reviewing edits, and complying with third-party provider terms.
11. Termination
The license terminates automatically if the user materially breaches this agreement, bypasses licensing, distributes unauthorized copies, or uses a revoked/expired key.
After termination, the user must stop using Aivium and delete unauthorized copies. User-created files remain the user's property.
12. Brand and Ownership
"Aivium" and the Aivium logos identify the product and rights holder. Registration of a trademark is not required for the rights holder to prohibit confusing or misleading use of the product name, logo, trade dress, domain names, or marketing materials.
Use the Aivium name only to truthfully identify the product, without implying endorsement, partnership, or ownership.
13. Governing Documents
If there is a conflict:
- a signed written agreement controls;
- then the public offer for payment and subscription terms;
- then this EULA for application use;
- then documentation and support materials.
